TAP CAP INC. — OFFICIAL RULES FOR GIVEAWAYS, CONTESTS, AND SWEEPSTAKES

PLEASE READ THESE OFFICIAL RULES CAREFULLY BEFORE ENTERING ANY TAP CAP INC. PROMOTION. BY PARTICIPATING, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR, WHICH ARE FINAL AND BINDING IN ALL RESPECTS. VOID WHERE PROHIBITED BY LAW.
1. OVERVIEW
These Official Rules ("Rules") govern all giveaways, contests, and sweepstakes (each, a "Promotion" and collectively, "Promotions") sponsored by Tap Cap Inc. ("Sponsor," "TapCap," "we," "us," or "our"), accessible at https://tapcaps.com. Promotions may be conducted across multiple platforms, including but not limited to: (a) TapCap's Discord community server; (b) social media platforms, including Instagram and Twitter/X; (c) livestream events hosted by TapCap or its affiliated creators; (d) the TapCap browser-based minigame hosted at https://play.tapcapgame.com/ or any successor or dedicated application; (e) in-game environments such as Roblox or Fortnite (UEFN); and (f) live, in-person events ("Live Events"). Each individual Promotion may be subject to additional or supplemental rules, terms, and conditions ("Supplemental Rules"), which will be posted in connection with that Promotion. In the event of any conflict between these Rules and any Supplemental Rules, the Supplemental Rules shall control with respect to that Promotion.
2. PROMOTION PERIODS
The dates and times for each Promotion ("Promotion Period") will vary and will be specified in the applicable Promotion announcement. TapCap runs recurring giveaways within its Discord community on a weekly basis. Flash giveaways, product-drop giveaways, and other time-limited Promotions may be announced with shorter Promotion Periods. All Promotion Periods will be stated in the relevant announcement on the applicable platform. Entries received outside of the stated Promotion Period will not be eligible.
3. ELIGIBILITY
Promotions are open only to natural persons who are citizens or legal residents of the United States of America. Entrants must be at least eighteen (18) years of age at the time of entry, except that minors (persons under the age of eighteen (18) but at least thirteen (13) years of age) may participate with prior written permission from a parent or legal guardian. Such written permission must be submitted to the Sponsor upon request and prior to any prize being awarded. Proof of eligibility may be required.
Employees, officers, and directors of Tap Cap Inc. and its parent companies, subsidiaries, affiliates, advertising and promotion agencies, and any other entity involved in the development or administration of a Promotion, and members of the immediate family (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members of each such employee, officer, or director, whether or not related, are not eligible to participate. Void where prohibited or restricted by law.
4. NO PURCHASE NECESSARY
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN ANY PROMOTION. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. All Promotions are void where prohibited by law.
5. HOW TO ENTER
The method of entry for each Promotion will be described in the applicable Promotion announcement. Entry methods may include, but are not limited to, the following:
5.1 Discord Giveaways. Entry may require participation in the TapCap Discord community, including but not limited to: submitting fan art, reposting or interacting with TapCap social content, submitting user-generated content (such as "best setup" submissions), or other community participation activities as specified. Giveaways will be announced in the Discord #announcements channel and will typically tag @everyone to notify all members.
5.2 Social Media Giveaways. Entry may require one or more of the following actions on the applicable social media platform (e.g., Instagram, Twitter/X): following the TapCap account, liking a designated post, commenting on and/or tagging friends in a designated post, reposting or sharing designated content, or completing other engagement requirements as specified in the post caption. Each tag or additional action may constitute an additional entry, if so stated in the applicable Promotion announcement.
5.3 Livestream Giveaways. Entry may require real-time participation in a livestream hosted by TapCap or an affiliated creator (e.g., Clix, Lacy). Winners may be selected at random from live chat participants.
5.4 App/Minigame Giveaways. Entry may require users to log in to the TapCap minigame using email, Apple ID, or Google ID and achieve certain performance benchmarks. Entry may be based on leaderboard ranking, score-based qualification, or other criteria as specified.
5.5 In-Game Giveaways. Entry may require participation in TapCap-branded experiences within third-party game environments, such as Roblox or Fortnite (UEFN), in accordance with the terms and conditions specified for each such Promotion.
5.6 Live Event Giveaways. For any Promotion conducted at a Live Event, entry requires physical attendance at the designated Live Event. Remote or online participation will not qualify as entry for Live Event Promotions.
5.7 General Entry Conditions. Limit one (1) entry per person per Promotion unless otherwise specified in the applicable Promotion announcement. Entries generated by script, macro, bot, or other automated means are void. All entries become the property of the Sponsor and will not be returned or acknowledged. Sponsor is not responsible for lost, late, stolen, damaged, incomplete, invalid, unintelligible, misdirected, or otherwise non-compliant entries.
6. WINNER SELECTION AND NOTIFICATION
6.1 Giveaways and Sweepstakes. Winners of giveaways and sweepstakes will be selected at random from among all eligible entries received during the applicable Promotion Period. Odds of winning depend on the total number of eligible entries received.
6.2 Contests. Winners of contests will be selected based on judging criteria specified in the applicable Promotion announcement. For example, community votes, judge panel evaluations, or a combination thereof may be used. The decisions of the judges are final and binding.
6.3 Notification. Winners will be notified via the platform on which the Promotion was conducted (e.g., Discord direct message, Instagram direct message, or other designated communication channel). Winners may also be announced in the TapCap Discord #announcements channel or on TapCap social media accounts. If a potential winner cannot be contacted, fails to respond within the timeframe specified in the notification (or within seventy-two (72) hours if no timeframe is specified), fails to comply with these Rules, or if the prize notification is returned as undeliverable, the potential winner forfeits the prize and an alternate winner may be selected at Sponsor's sole discretion.
7. PRIZES
7.1 Prize Descriptions. The type, quantity, and approximate retail value ("ARV") of prizes will be specified in each Promotion announcement. Prizes will vary by Promotion and may include, but are not limited to: TapCap products (including rare, sold-out, or unreleased characters and items), TapCap merchandise (such as hoodies and tees), limited-edition items, and custom TapCap-branded items (such as a custom TapCap-branded PC). The ARV of any individual prize offered in any Promotion shall not exceed Three Thousand Dollars ($3,000.00).
7.2 Product Disclaimers. In the event that a prize includes any product manufactured by a company other than Tap Cap Inc., the inclusion of such product shall not constitute, and shall not be construed as, an endorsement of or by Tap Cap Inc. of the manufacturer of such product, nor an endorsement by such manufacturer of Tap Cap Inc. or its products. The custom TapCap-branded PC, for example, is created in collaboration with a third-party vendor and is not a standard retail product.
7.3 Prize Conditions. All prizes are awarded "AS IS" without warranty of any kind, express or implied. No substitution, assignment, or transfer of a prize is permitted, except by Sponsor, who reserves the right to substitute a prize of equal or greater value if a prize becomes unavailable for any reason. All prize details are at Sponsor's sole discretion.
8. TAXES
ALL FEDERAL, STATE, AND LOCAL TAXES ON PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNER OR RECIPIENT. Winners and recipients may be required to provide a valid taxpayer identification number or Social Security number prior to receiving a prize. Sponsor will issue IRS Form 1099 or other tax documentation as required by applicable law.
9. RELEASE AND WAIVER
As a condition of receiving any prize, all winners and recipients must execute and return to Sponsor a release of liability, publicity release (where permitted by law), and any other documentation reasonably required by Sponsor ("Release"). The Release must be signed and returned within the timeframe specified by Sponsor. For minors, the Release must be signed by a parent or legal guardian. Failure to timely return a properly executed Release will result in forfeiture of the prize, and an alternate winner or recipient may be selected.
10. GENERAL CONDITIONS
10.1 Right to Modify or Cancel. Sponsor reserves the right, in its sole discretion, to modify, suspend, extend, or cancel any Promotion or these Rules, in whole or in part, at any time, with or without prior notice, for any reason, including but not limited to fraud, technical failures, or any other factor that could compromise the integrity of the Promotion. In the event of cancellation, Sponsor may, in its sole discretion, select winners from among all eligible, non-suspect entries received prior to cancellation.
10.2 Publicity. Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use the winner's name, likeness, biographical information, statements, and voice in advertising and promotional materials in any and all media now known or hereafter developed, worldwide, in perpetuity, without additional compensation or notice.
10.3 Limitation of Liability. By participating in any Promotion, entrants agree to release and hold harmless Tap Cap Inc. and its respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and each of their respective officers, directors, employees, agents, and representatives (collectively, "Released Parties") from and against any and all claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) participation in any Promotion; (b) acceptance, possession, use, or misuse of any prize; (c) any technical or human error in the administration of any Promotion; or (d) any injury, loss, or damage of any kind arising in connection with or as a result of a Promotion or the acceptance, possession, or use of a prize. Released Parties are not responsible for any incorrect or inaccurate entry information, human or electronic error, technical malfunctions, failures, or omissions in the administration of any Promotion.
10.4 Disputes. Except where prohibited by law, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, or the rights and obligations of the entrant and Sponsor in connection with any Promotion, shall be governed by and construed in accordance with the laws of the State in which Sponsor's principal office is located, without giving effect to any choice-of-law or conflict-of-law rules or provisions that would cause the application of the laws of any other jurisdiction. By entering, each entrant agrees that any and all disputes arising out of or relating to any Promotion shall be resolved individually, without resort to any form of class action, and exclusively in the federal or state courts located in the jurisdiction of Sponsor's principal office.
10.5 Consent to Data Collection. By participating in any Promotion, entrants consent to the collection, use, and disclosure of their personal information by Sponsor for the purpose of administering the Promotion and in accordance with Sponsor's privacy policy, available at https://tapcaps.com.
10.6 Disqualification. Sponsor reserves the right, in its sole discretion, to disqualify any entrant who: (a) tampers or attempts to tamper with the entry process or the operation of any Promotion; (b) violates these Rules; (c) acts in an unsportsmanlike or disruptive manner; or (d) attempts to undermine the legitimate operation of any Promotion, including by cheating, hacking, deception, or other unfair practices.

12. SEVERABILITY
If any provision of these Rules is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
By entering any Tap Cap Inc. Promotion, you acknowledge that you have read, understood, and agree to be bound by these Official Rules.
